Terms of Service

1. About Teachstead and US availability

Teachstead is operated by Gregory Softworks LLC d/b/a Teachstead, 5900 Balcones Drive, Ste 100, Austin, TX 78731, USA. These Terms govern our studio-management software for US studios, adult students, and guardians. Questions about the platform: info@teachstead.com.

A Studio provides and controls its lessons, pricing, curriculum, and family-facing cancellation and refund policies. Your lesson agreement is with that Studio. Teachstead supplies the software; it does not provide the lesson.

2. Accounts and minors

Provide accurate information, protect your credentials, and use only accounts and student records you are authorized to access. Accounts are for adults. Students under 18 must participate through an authorized parent or legal guardian; they cannot self-register an account.

A guardian acts for the children they are authorized to represent. Studios must obtain and document the permissions required before entering a child's information or enabling optional recording or transcription. An email verification code, guardian link, or acceptance of these Terms does not by itself establish every form of legally required parental consent. Teachstead also remains responsible for obligations that apply to it.

3. Teachstead subscriptions, trial, and renewals

The studio-management trial lasts 30 days and does not require a payment card. The trial does not automatically start a paid subscription or include every paid add-on. To continue with a paid plan, choose a plan and complete checkout. Starting paid checkout before the trial ends begins the paid purchase shown at checkout.

Paid plans renew automatically at the monthly or annual interval selected until canceled. Checkout shows the price in US dollars, interval, and any applicable tax before you authorize payment. Usage allowances and paid add-ons are described in Billing; their reset period can differ from an annual payment interval.

You can cancel in Settings → Billing through the billing portal. Cancellation takes effect at the end of the current paid billing period, with access continuing until then. If the portal is unavailable or you need help, contact support. Cancellation stops future renewal charges; it does not automatically refund the current period.

4. Plan changes, add-ons, credits, and refunds

Review the amount and effective date displayed before changing a plan. Adding a recurring add-on can invoice a prorated charge immediately; removing it can create a billing credit. Billing credits are adjustments to future charges and are not automatically returned as cash.

Usage packs are separate one-time purchases of the quantity shown at checkout. Included monthly allowances, rollover, and purchased credits follow the limits and expiry shown in Billing; storage capacity is a separate product. Do not assume that all credits are refundable, interchangeable, or unlimited.

If you are dissatisfied or have unused purchased credits, contact support. We are willing to work with customers and review refund or credit requests case by case. A request does not guarantee a refund; any rights required by applicable law remain unaffected.

5. Family payments and invoices

The Studio's disclosed lesson prices, cancellation windows, attendance rules, and refund decisions govern family charges. If a booking requires payment, complete checkout as instructed to confirm it. Raise lesson-charge questions with the Studio first.

Stripe processes online card payments. Stripe's fees depend on the payment method and the Studio's Stripe agreement; Teachstead does not add a payment-processing markup. Recording an external payment in Teachstead does not process or settle that payment. Monthly invoices are generated as drafts for the teacher to review and send.

6. Recording, transcription, and AI

Before recording or enabling live transcription, tell every participant what will be captured, why, who receives it, and how long it is kept, and obtain all permissions required for the participants' locations. Obtain a guardian's authorization for a minor. Do not record or transcribe someone who has declined.

Teacher-initiated voice notes and uploaded recordings may be transcribed and summarized. Video lessons may use optional live transcription through Daily and its transcription service. Teachstead does not enable video recording in this feature. AI drafts can be inaccurate and are saved automatically for review. The teacher is responsible for reviewing and editing them before sending them to families.

Recording files expire after 14 days regardless of transcription success, with earlier teacher deletion available. The Privacy Policy explains how recordings, transcripts, and summaries are handled. Families can ask the Studio or support to stop future recording and address previously collected information.

7. Content and acceptable use

You retain ownership of your content and give Teachstead permission to store, process, transmit, and display it as needed to provide the features you use. Upload content only if you have the necessary rights and permissions. Do not use the service for unlawful activity, harassment, impersonation, unauthorized access, or interference with others' service.

Teachstead's software, design, branding, and site content belong to Gregory Softworks LLC or its licensors. These Terms do not give you rights to them beyond using the service as described here. Other companies' names and marks belong to their owners.

8. Availability and ending use

Features may evolve. We will communicate material changes where appropriate. The service is provided as available, subject to rights that cannot be excluded by law. You may stop using the service, cancel a subscription through Billing, and request account or data deletion through support. Deleting a student record is not the same as canceling a paid subscription or completing a platform-wide privacy request.

We may suspend or terminate access for misuse, violations, or legal requirements. Payment obligations already incurred and provisions that by their nature continue after termination survive to the extent permitted by law.

9. Indemnification

To the extent permitted by applicable law, you will indemnify and hold harmless Gregory Softworks LLC from claims, losses, and expenses arising out of your misuse of Teachstead or your violation of these Terms.

10. Liability and disputes

To the extent permitted by applicable law, Teachstead excludes indirect, incidental, special, punitive, and consequential damages and lost profits or revenue. Its total liability for a related claim is limited to the greater of fees you paid Teachstead in the preceding 12 months or US $100. These limits do not remove rights or liabilities that cannot lawfully be excluded.

Texas law governs these Terms, without regard to conflict-of-laws principles and subject to applicable mandatory protections. Disputes must be brought exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts. If a provision is unenforceable, the remaining provisions continue. Neither these Terms nor the Privacy Policy replaces the Studio's separate lesson agreement.

11. Policy changes and contact

We preserve previous policy versions. Material changes will state an effective date and be communicated through an appropriate notice. When renewed account acceptance is required, the service asks the verified account holder to review the current version before continuing with protected features. Public booking forms also show the current documents. A booking acknowledgment is not permission to overwrite someone else's account acceptance.
