Terms of Service

1. About Teachstead

Teachstead is operated by Gregory Softworks LLC (5900 Balcones Drive, Ste 100, Austin, TX 78731, USA) (“we”, “us”). It is a lesson-scheduling, billing, and communication platform used by private teachers, tutors, and studios (“Studios”) to run their businesses, and by their students and guardians (“Students” and “Guardians”) to book, attend, and pay for lessons. These Terms of Service (“Terms”) govern your use of Teachstead. By creating an account, booking a lesson, or otherwise using Teachstead, you agree to these Terms. If you do not agree, do not use the service.

2. Relationship between you and a Studio

Teachstead provides software to Studios. The lesson itself — including price, curriculum, cancellation rules, refund policy, and every other detail of the teacher-student relationship — is an agreement between you and the Studio. Teachstead is not the teacher and is not a party to that agreement. We are not responsible for the quality, safety, legality, or any other aspect of the lessons themselves.

3. Accounts

You may need an account to use certain features. You are responsible for keeping your credentials secure and for everything that happens under your account. You must provide accurate information and keep it up to date. We may suspend or terminate accounts that are inactive, that we reasonably believe were created with false information, or that violate these Terms.

4. Minors and guardian consent

Teachstead is often used by minors, since many students are children. If you are under 18 (or under the age of majority where you live), you may only use Teachstead with the involvement and permission of a parent or legal guardian. A guardian must provide their contact information during booking or account creation, and by doing so the guardian confirms that:

  • They have authority to act on behalf of the minor and to agree to these Terms on the minor's behalf.
  • They consent to the minor's personal information being used as described in our Privacy Policy.
  • They will be the recipient of billing and invoice communications (either instead of the minor or in addition to the minor, as selected at signup).

We do not knowingly collect personal information from children under 13 without verifiable parental consent, in accordance with the U.S. Children's Online Privacy Protection Act (COPPA). See the Privacy Policy for more on how we handle a minor's data and the rights a guardian has to access or delete it. A Studio may also require guardian consent on paper separately from Teachstead; those requirements are between you and the Studio.

5. Lesson recordings and AI summaries

Studios may use Teachstead to record short voice notes or lesson audio and generate written lesson summaries with the help of AI. If a Studio uses this feature:

  • The Studio is responsible for telling students and families that lessons may be recorded, and for obtaining any consent required by law before recording — including a parent or guardian's consent before recording a minor, and verifiable parental consent for a child under 13 (COPPA).
  • Recordings and transcripts are processed by service providers as described in the Privacy Policy, which also covers retention, deletion, and a family's right to opt out of recording entirely.
  • AI-generated summaries are drafts for the teacher. The teacher is responsible for reviewing a summary before sending it to a family, and the Studio remains responsible for the content it sends.

6. Booking, payment, and cancellations

When you book a lesson, the Studio's stated price, cancellation window, and refund rules apply. Teachstead surfaces those rules in the interface and enforces them in billing calculations, but the underlying policy is the Studio's. Payments are processed by Stripe; Teachstead never sees or stores your full card number. If a lesson requires payment at booking, completing the Stripe checkout is part of confirming the booking. Disputes over charges should be raised with the Studio first.

7. Acceptable use

Don't use Teachstead to do anything illegal, to harass or harm anyone, to scrape other users' data, to interfere with the service, to attempt unauthorized access, or to impersonate anyone. Don't upload anything you don't have the right to share. Don't use Teachstead to run a competing service.

8. Your content

You keep ownership of anything you upload or enter into Teachstead (lesson notes, messages, files, and so on). You grant Teachstead a limited license to store, transmit, and display that content strictly as needed to run the service for you and the Studio you belong to.

9. Service changes and availability

Teachstead is a live, evolving product. Features may change, be added, or be removed. We try to minimize disruption and give notice for big changes, but we do not guarantee any particular feature will remain available. The service is provided on an “as-is” and “as-available” basis, with no warranties beyond those that cannot be disclaimed under applicable law.

10. Limitation of liability

To the maximum extent permitted by law, Teachstead is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or loss of data, arising out of your use of the service. Our total liability to you for any claim arising out of or related to Teachstead is limited to the greater of (a) the fees you have paid to Teachstead in the twelve months before the claim, or (b) one hundred US dollars. Note that Students typically pay their Studio directly rather than paying Teachstead, in which case clause (a) is zero and the cap is $100 USD.

11. Termination

You may stop using Teachstead and delete your account at any time. We may suspend or terminate access for violations of these Terms, for misuse, or where required by law. Obligations that by their nature should survive termination (payment, liability, indemnity) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. You and Teachstead agree to bring any dispute arising out of or relating to these Terms exclusively in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction in those courts.

13. Severability and assignment

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. You may not assign or transfer these Terms or any of your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

14. Entire agreement

These Terms, together with the Privacy Policy, are the entire agreement between you and Teachstead regarding the service and supersede any prior agreements on the same subject.

15. Changes to these Terms

We will update these Terms from time to time. When we make a material change we update the version string and effective date at the top of this page and ask you to re-accept at your next booking or login. Continued use after an update means you accept the new Terms.
